All great questions ! I believe Bruce is in financial trouble with his stock in the subpenny level. The only ones that that have an advantage to covert convertible debt, preferred, or notes to common are the note holders which can convert at 40-50% discount to the lowest stock price prior to the conversion which means they get the stock at less than .003 per share. The stock price needs to get above .03 before any of the the convertible debt or convertible preferred are interested in conversions. This means Bruce's only financing option is to continue issuing convertible promissory notes that will create massive dilution. He also has another problem and that is with the authorized common share count which need to increase substantially because on a fully diluted basis the common share count would exceed the authorized share count by a few 100M shares. So Bruce is in a bad situation from a financing viewpoint , therefore it is easy to understand that Bruce is desperate to pump his stock price. JMO
