Grasshopper, if the CEOs of the prospective partners do not already know each other then a neutral third party might be used. All of the CEOs in the industry are regularly interviewed by media people and other neutral parties, and it is not uncommon to see, for example, a firm like Boston Biomedical Consulting make a call to one party, usually the selling party, and asking the CEO if he knows of an industry player looking to share resources for a particular product or service. But usually, the two CEOs have enough contacts in common that buyer and seller can find each other.
And yes, if the first contact works out, an NDA will be executed and DD will occur.
Regardless of what you might read here from the TAUG thugs and especially on the iHub board, DECN is a known quantity in the industry. They beat J&J. They might beat J&J again. Mr. Berman is viewed by many in the in-vitro products world as somewhat of a folk hero.
