CGI NORDIC INVESTMENTS LIMITED INITIATES REDEMPTION PROCEEDINGS REGARDING THE REMAINING MINORITY SHARES IN AFFECTO PLC
CGI Nordic Investments Limited (the "Offeror"), an indirect wholly-owned subsidiary of CGI Group Inc., commenced a voluntary recommended public tender offer to purchase all the issued and outstanding shares in Affecto Plc (“Affecto”) that are not owned by Affecto or any of its subsidiaries (the "Tender Offer") on 30 August 2017. The offer period of the Tender Offer expired on 27 September 2017.
On 2 October 2017 the Offeror announced that it would complete the Tender Offer in accordance with its terms and conditions.
On 6 October 2017, title to 94.79 per cent of the issued and outstanding shares in Affecto that are not owned by Affecto or any of its subsidiaries passed to the Offeror in accordance with the terms and conditions of the Tender Offer. As a result thereof, today, the Offeror informed Affecto of its redemption right and obligation pursuant to the provisions of the Finnish Companies Act (624/2006, as amended) in respect of the shares held by any remaining shareholders in Affecto.
In addition, the Offeror also submitted an application to initiate statutory squeeze-out proceedings to the Redemption Board of the Finland Chamber of Commerce in order to complete the redemption of the shares held by any other remaining shareholders in Affecto.
