Company to Ensure Orderly Transition from NASDAQ to OTC Market
NEW YORK, Sept. 13, 2017 (GLOBE NEWSWIRE) -- Delcath Systems, Inc. (NASDAQ CTH), an interventional oncology company focused on the treatment of primary and metastatic liver cancers, announces that its Board of Directors has approved the voluntary delisting from NASDAQ. As a result of the shareholder non-approval of its reverse stock split last week by the requisite vote required under Delaware law, the Company does not meet the requirements for continued listing on the Nasdaq Capital Market. Last week, shareholders holding 223.4 million shares or 43.7% of the issued and outstanding stock on the record date approved the measure; however, due to the number of non-voting shares the proposal did not meet Delaware standards for approval. The Company plans to file a Form 25 with the Securities and Exchange Commission (the "SEC" approximately 10 days after the date hereof and expects that its common shares will cease trading on NASDAQ on or about September 22, 2017. In preparation for this contingency, the Company has applied for listing on the OTCQB and anticipates that its stock will begin trading there on September 22, 2017 under the symbol “DCTH”.
The decision to delist from NASDAQ was taken following the Company's review and consideration of several factors including the likelihood of ongoing non-compliance with the NASDAQ listing requirements. The Board of Directors determined that an orderly transition to the OTCQB is in the best interests of the Company and its shareholders.
