The sales were completed pursuant to the Sales Agreement between the company and Cowen and Company, LLC, which the company filed as an exhibit to a Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on August 3, 2017. The sales exhausted the shares that were available for sale under the Sales Agreement.
