MONTREAL, Québec, July 04, 2017 (GLOBE NEWSWIRE) -- On June 30, 2017, 9346-4626 Québec Inc., operating as Transican (" Transican ") acquired 14,705,883 units (" Units ") of Pediapharm Inc. (the " Corporation ") (TSX-V: PDP ), each Unit representing one common share (a " Common Share ") in the capital of the Corporation and one-half common share purchase warrant (a " Warrant ") in the capital of the Corporation (the " Acquisition ").  The price was $0.34 per Unit, for total consideration of $5,000,000.  Transican is a private company controlled by Mr. Gerard Leduc.

Immediately prior to the Acquisition, Transican held no Common Shares and no Warrants.  As of the date hereof, Transican, together with Mr. Leduc, holds 14,705,883 Common Shares, 7,473,941 Warrants and $200,000 aggregate principal amount of secured convertible debentures of the Corporation, representing 19.27% of the issued and outstanding Common Shares on a fully diluted basis.

The Acquisition was completed pursuant to the terms and conditions of a subscription agreement dated May 24, 2017 between Transican and the Corporation for the purchase of 14,705,883 Units at a price of $0.34 per Unit.  

Transican acquired the Common Shares for investment purposes and intends to evaluate its holdings and may further increase or decrease its beneficial ownership of Common Shares or other securities of the Corporation depending on market conditions and as circumstances warrant.
