STAVANGER, NORWAY--(Marketwired - May 25, 2017) - Statoil ASA (OSLO:STL) ("Statoil") announced today that it sold 22,805,892 Common Shares (" Shares ") of International Petroleum Corporation (" IPC ") (TSX:IPCO)(NASDAQ OMX:IPCO) , representing approximately 20.1% of the issued and outstanding Shares.
On May 24, 2017 Statoil sold 22,805,892 Shares at a price of C$4.77 per Share, for aggregate proceeds of approximately C$109 million, pursuant to the offer launched on April 24, 2017 by Lundin Petroleum BV (" LPBV "), a subsidiary of IPC resident in the Netherlands, to purchase up to U.S.$100 million of Shares (the " Issuer Sale "). Prior to the Issuer Sale, Statoil owned 22,805,892 Shares, representing approximately 20.1% of the issued and outstanding Shares. Following the Issuer Sale, Statoil will not own any Shares.
Statoil is a shareholder of Lundin Petroleum AB (" Lundin ") and received its Shares on April 24, 2017 in connection with a shareholder-approved reorganization of Lundin involving the transfer of its assets in Malaysia, France and the Netherlands into IPC and the distribution of all of the Shares, on a pro rata basis, to the shareholders of Lundin. Continuing to hold Shares in IPC is non-core given IPC's size and geography and, accordingly, Statoil sold all of its Shares.
