General Meeting

A General Meeting ("GM") of Cleantech Building Materials plc ("CBM" or the "Company") shareholders, was held in London today, 26 April 2017.

Full details of the resolutions considered at the GM were published in the Circular to shareholders dated 7 April 2017 containing the Notice of GM, which is available on the Company's website: cbm-plc.com.  All resolutions put to shareholders were passed.

The decisions made at the GM, among others, were:

1. The approval of the adoption of the "Cleantech Building Materials Plc 2017 Unapproved Share Option Scheme" ;

2. The approval of changes to the Company's Articles of Association ("Articles"), the principal changes being to create a new class of share, being 9 per cent. cumulative redeemable preference shares ("Preference Shares"), with a view to issuing them within a relatively short time (subject to the approval and Court sanction of the Share Premium Account Cancellation, explained below) to raise up to €5 million; and

3. The approval of the proposed cancellation of the Company's share premium account ("Share Premium Account Cancellation") so that the Company is in a position to declare dividends when this is considered appropriate. The Preference Shares carry the right to a dividend which, if not declared, accrues on a cumulative basis. Following shareholder approval for the Share Premium Account Cancellation the Company intends to seek the approval of the High Court of Justice of England and Wales (the "Court") for this reduction in share capital to occur, which is currently scheduled to take place on 17 May 2017.  A further announcement will be made following the Court hearing.
