As consideration (compensation) for the acquisition of CEN, Incumaker shall transfer 100,000,000 shares of its voting common stock, which will be disbursed amongst CEN shareholders on a proportionate basis
In the above quote, the obvious question, at least to me, becomes , what does , ' proportionate ' , actually mean ?
At first, and still, in a way I thought it meant that the full 100 mil shares would be divided between all shareholders of record.
But, it could also mean proportionate to a certain monetary value which was not given.
In other words, we do not know what was paid in dollars for CEN , but , that would be the value of Cen , reflected by the 100 mil. shares.
I suppose what makes it confusing to me is that ESBI is created for the sole reason to absorb CEN. So, based on that one must know what the money value paid for CEN was.
At the point of the distribution to CEN shareholders, if I remember correctly....after the 700:1 break down, the value at that time was close to $4.20 per share with consideration of the share price at that point.
Now, if my 23 shares per 1 share of CEN theory is right, then it adds up, with the value of Cen at the time the free shares were given that the ESBI shares would be very close to $0.186 per share.
Some folks may freak out that it is just a little over eighteen cents a share.....but, it is the same value that we had at the time of the distribution, just 23 times the amount of shares.
And by the way....If ESBI creates say....200 mil AUTHORIZED shares, and keeps the majority of shares to keep control of the company....that is not a high share count overall, and I would expect that float will take care of itself. In other words, people will buy and sell like they always have, and the market will be very, ' live'.
Should it go this way, I am happy with my free shares and what happens.
I can not say, or even pretend to say what WILL happen. In the above I am simply going by what we all know to be true and factual.
