(“HEAT”) (NASDAQ: HTBX ), a leader in the development of immunotherapies designed to activate a patient’s immune system against cancer, announced the pricing of an underwritten public offering of 5,000,000 shares of its common stock at a public offering price of $0.80 per share. The gross proceeds to Heat from this offering are expected to be $4,000,000 before deducting underwriting discounts and commissions and other estimated offering expenses payable by Heat. Heat intends to use the proceeds from this offering to continue to fund its and its subsidiaries’ preclinical and clinical programs, for working capital and general corporate purposes, as well as to acquire, license or invest in complementary businesses, technologies, product candidates or other intellectual property. Heat has granted the underwriters a 45-day option to purchase up to 750,000 additional shares of common stock at the public offering price, less the underwriting discounts and commissions. The offering is expected to close on or about March 28, 2017, subject to customary closing conditions.
