Opinion of the Board of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” on the compulsory expression of a stock redemption offer of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija”
On the 20th of March 2017 Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” stockholder SIA “Latvijas Šķirnes dzīvnieku audzētāju savienība” (registration number 40003134620, legal address: Republikas laukums 2, Rīga, LV-1010, Latvia) expressed a compulsory stock redemption offer of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” (hereinafter referred to as the Offer). The Offer was expressed in accordance with the Financial and Capital Market Commission decision, dated 14th of March 2017.
The Board of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija”, having evaluated the Offer of SIA “Latvijas Šķirnes dzīvnieku audzētāju savienība”, provides the following opinion:
[1] SIA “Latvijas Šķirnes dzīvnieku audzētāju savienība” owns 368578 (three hundred and sixty eight thousand five hundred seventy eight) shares or 42.08 % (forty two and 8/100 percent) of the total number of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” voting shares.
[2] The Board of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” confirms that the expressed Offer corresponds to provisions of the Financial Instrument Market Law.
[3] The Board of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” evaluates positively the expressed Offer of SIA “Latvijas Šķirnes dzīvnieku audzētāju savienība” and specifies that existence of SIA “Latvijas Šķirnes dzīvnieku audzētāju savienība” as one of the biggest stockholders will accelerate the decision making and allow Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” to focus on the main areas of activity more effectively as well as to react to market changes in a timely manner, facilitating the process for the further development of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija I”.
[4] In accordance with the announcement on the Offer provided for the Board of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” and after the Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” stock redemption, Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” will continue commercial activity based on the approved strategy and according to activities listed in the Articles of association.
The Offer of SIA “Latvijas Šķirnes dzīvnieku audzētāju savienība” will not directly or indirectly influence on the further activity of Joint Stock Company “Kurzemes ciltslietu un mākslīgās apsēklošanas stacija” and its employment policy, strategic plans, number of employees or the location of the commercial activity.
