Well for retiring her shares she's giving herself a premium. I don't think it matters towards the S's. she restricted them for a year which means she's not hurting for money.
When they come off restriction she has the option to convert but doesn't have too. btt the shr price should be back to its dollar+ range. she has 50mil of common stock to see in open market to raise capital. If need be. at some point she may or will need to convert to raise additional cap for expansion. All depends on how amazon works out etc.
