Change in shareholding, exercise of warrants and exercise of stock options

TORONTO, February 14, 2017 /Marketwired/ - Dalradian Resources Inc. (TSX: DNA )(AIM:DALR) ("Dalradian" or the "Company") announces the following changes in shareholdings:

  • On 7 February 2017, a filing on SEDI confirmed the increase in shareholdings for Ross Beaty on the exercise of 6,278,000 common share purchase warrants on 3 February 2017. According to the SEDI filing, as of 7 February 2017, Mr. Beaty held 23,502,000 common shares of no par value ("Common Shares") representing 9.4% of the issued share capital of the Company.
  • On 9 February 2017, a TR-1 filing confirmed that on 7 February 2017 BlackRock, Inc. purchased 12,222,822 Common Shares.  A subsequent TR-1 filing on 10 February 2017 confirmed BlackRock, Inc. purchased 1,816,702 common shares on 8 February 2017. According to the filing, as of 10 February 2017, BlackRock, Inc. held 14,039,524 common shares representing 5.6% of the issued share capital of the Company.

In addition, the Company also announces that a total of 40,000 common share purchase warrants issued on 7 October 2015 were exercised by Dalradian shareholders on the 6 and 9 of February 2017 ("February Warrant Admission") at a price of C$1.04, resulting in proceeds to the Company of C$41,600. The shares issued upon exercise of the warrants were admitted for trading on the AIM market of the London Stock Exchange as part of the block admission announced on 23 September 2016. Also, 28,829 shares were issued as a result of stock options exercised by employees on 10 February 2017 with exercise prices between C$0.67 and C$1.10 (the "Options Admissions") using the cashless exercise option available under the Company's stock option plan.

Application has been made for 28,829 common shares further to the exercise of the stock options, which will rank pari passu with the existing common shares in issue, to be admitted to trading on AIM and admission is expected to occur at 8:00am on or around 17 February 2016 (the "February Warrant Admission" and the "Option Admissions").

Following the February Warrant Admission and Option Admissions, the Company will have in issue 249,697,872 Common Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

At a gold price of US$1,250 per ounce, the after-tax net present value was US$301-million (at a 5-per-cent discount rate) with an after-tax internal rate of return of 24.4%. The FS identified proven and probable mineral reserves of 1.44 million ounces of gold (5.24 million tonnes at 8.54 grams per tonne gold), a subset of the measured and indicated resources of 2.10 million ounces of gold (5.61 million tonnes at 11.61 g/t gold). The FS excludes inferred resources of 2.31 million ounces of gold (7.13 million tonnes at 10.06 g/t gold) identified in the May 2016 Technical Report.
