In the APA (Asset purchase agreement) I do not see the SPA (Stock purchase agreement. From Wikipedia "An APA differs from a stock purchase agreement (SPA) where company shares, title to assets, and title to liabilities are also sold". THANKS FOR YOUR ATTENTION
