Hamilton, Bermuda, 26 January 2017 - Reference is made to Höegh LNG Holdings Ltd.'s ("Höegh LNG" or the "Company") stock exchange notice dated 5 January 2017 where the Company informed about the share issue following the settlement of Round 1 of the Management Stock Option Plan which expired 31 December 2016.
Reference is further made to the stock exchange notice dated 25 January 2017 where the Company informed of sale of shares by primary insiders in order to settle applicable taxes in connection with the award of options and for other purposes. For the same purposes, the following primary insiders have sold a number of shares as further set out below:
- Steffen Føreid, CFO: sold 9,000 shares
- Vegard Hellekleiv, COO: sold 9,000 shares
- Øivin Iversen, CTO: sold 3,561 shares
- Stephan Tschudi-Madsen, Senior Executive Officer: sold 21,313 shares
- Camilla Nyhus-Møller, SVP Legal & Compliance: sold 596 shares
The transactions were completed 25 January 2017 in the period CET 12:29:34 to 16:00:15 at an average price of NOK 98.14 per share.
The total ownership interests subject to disclosure requirements held by the primary insiders following the above transactions are as follows:
- Steffen Føreid, CFO: 21,805 shares and 179,200 options in Höegh LNG. In addition, Føreid owns 5,630 common units and 9,198 Phantom Units in Höegh LNG Partners LP.
- Vegard Hellekleiv, COO: 23,364 shares and 165,600 options in Höegh LNG. In addition, Hellekleiv has been granted 4,000 Phantom Units in HMLP.
- Øivin Iversen, CTO: 1,785 shares and 165,600 options in Höegh LNG.
- Stephan Tschudi-Madsen, Senior Executive Officer: 2,276 shares and 100,000 options in Höegh LNG and 5,000 common units in HMLP.
- Camilla Nyhus-Møller, SVP Legal & Compliance: 45,375 options in Höegh LNG and 4,124 Phantom Units in HMLP.
In addition, Steffen Føreid, Ragnar Wisløff, Vegard Hellekleiv, Øivin Iversen and Stephan Tschudi-Madsen have ownership interests inHöegh LNG through Methane Ventures Limited.
