(the “Company” or “Entellus Medical”) (NASDAQ: ENTL ), a medical technology company focused on delivering superior patient and physician experiences through products designed for the minimally invasive treatment of chronic and recurrent sinusitis in both adult and pediatric patients, today announced that it has commenced an underwritten public offering of $60.0 million of shares of its common stock. The offering is expected to consist of $40.0 million of shares to be offered by the Company and $20.0 million of shares to be offered by certain existing stockholders. In addition, Entellus Medical intends to grant the underwriters a 30-day option to purchase up to an additional $9.0 million of shares of its common stock at the public offering price. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
Entellus Medical intends to use the net proceeds from the offering for working capital purposes, which may include repayments on its credit facility, and for other general corporate purposes. Entellus Medical will not receive any proceeds from the sale of shares by the selling stockholders.
