Here is why:
1. Cannot find a Sec of State registration for TN through TN's website. They are a Colorado corp but they do business in TN and have officers located in TN, TN sales and I suppose TN payroll. They MUST register with TN and file franchise and excise returns with TN. I don't know if they file or not but if they don't have a SEC state registration then they must not be filing.
2. Of course federal tax returns must be filed.
3. TN has a bottlers tax. The energy and hangover drinks are not exempt from this tax. It is based on sales made in TN to their distributors. We know they have one in Memphis.
4. TN has a business tax based on gross receipts wholesale/retail in TN. This requires they purchase a business license in Nashville and Davidson Co. I don't have a way to find a license but it is usually public record.
If HJOE reads this maybe they should look into all of this to correct the company before going public again.
Not bashing but trying to let them know what they should do and hire a TN accounting firm that knows the TN tax laws.
