Sterling Bridge Capital, Inc., formerly Blue Bridge Capital, Inc., is a holding company. The Company, through its subsidiary Guangdong Yi An Investment Consulting Company Limited (Yi An), is a consulting firm engaged in financial consulting, investment advisory, management consulting and business development consulting services in Beijing, as well as other cities in Guangdong Province. On June 1, 2010, the Company completed the purchase of a 51% interest in Yi An. On October 25, 2010, it completed the purchase of an additional 24.37% interest in Yi An. On March 25, 2011, it completed the purchase of an additional 14.63% interest in Yi An. As of June 30, 2011, the Company owned a 90% interest in Yi An. On September 26, 2011, the Company’s 90%-owned subsidiary, Yi An, entered into an agreement (the Purchase Agreement) with Guangzhou Xiang Ran Trading Co., Ltd., pursuant to which Yi An sold its 51% interest in its subsidiary, Guangdong Hua Ying Investment Consulting Co., Ltd.
