Opinion of the Board of akciju sabiedrība “LATV

On the 5^th of January 2017 akciju sabiedrība “LATVIJAS TILTI” stockholder SIA “LNK (Latvijas Novitātes Komplekss)” (unified registration number 40003000252, legal address: 15 Jana Dalina Street, Riga, LV-1013, Latvia) expressed a compulsory and final stock redemption offer of akciju sabiedrība “LATVIJAS TILTI” (hereinafter referred to as the Offer). The Offer was expressed in accordance with the Financial and Capital Market Commission decision No 220, dated 28^th of December 2016.

The Board of akciju sabiedrība “LATVIJAS TILTI”, having evaluated the Offer of SIA “LNK (Latvijas Novitātes Komplekss)”, provides the following an opinion:

[1] SIA “LNK (Latvijas Novitātes Komplekss)” owns 95.03% (ninety-five and 3/100 percent) of the total number of voting shares of akciju sabiedrība “LATVIJAS TILTI”.

[2] The Board of akciju sabiedrība “LATVIJAS TILTI” deems the expressed Offer corresponding to provisions of the Financial Instrument Market Law.

[3] The Board of akciju sabiedrība “LATVIJAS TILTI” evaluates positively the expressed Offer of SIA “LNK (Latvijas Novitātes Komplekss)” and specifies that existence of SIA “LNK (Latvijas Novitātes Komplekss)” as the only stockholder will accelerate the decision making and allow akciju sabiedrība “LATVIJAS TILTI” to focus on the main areas of activity more effectively as well as to react to market changes in a timely manner, facilitating the process for the further development of akciju sabiedrība “LATVIJAS TILTI”.

[4] In accordance with the announcement on the Offer provided for the Board of akciju sabiedrība “LATVIJAS TILTI” and after the akciju sabiedrība “LATVIJAS TILTI” stock redemption and stock exclusion from the regulated market, akciju sabiedrība “LATVIJAS TILTI” will continue commercial activity based on the approved strategy and kinds of activity provided for in the Articles of association.

The Offer of SIA “LNK (Latvijas Novitātes Komplekss)” will not directly or indirectly influence on the further activity of akciju sabiedrība “LATVIJAS TILTI” and its employment policy, strategic plans, the number of employees, the location of the commercial activity of akciju sabiedrība “LATVIJAS TILTI”.
