Briefly, basically Vert acquired Shutterstock's old sub shell, Pixel Holdings
It's hard to believe they went after the shell Pixel Holdings just because of its pixel name. That seems like too much unnecessary work.
Basically it comes down to whether Oringer still has a stake in the holdings company, or if he has been entirely indemnified. If Oringer has no stake in the shell, this could mean that Vert did just go after the shell because it had a suiting name. If Oringer does have stake in the company, then Oringer likely wants to use Pixelmags' IP as a platform to distribute Shutterstock content. Oringer would have had to sign off on selling the shell to Vert.
No one really has proof of anything. Oringer denied involvement with Pixelmags, but not Vert.
I personally would find it to be a massive coincidence if there was no connection between shutterstock and pixelmags. But it could very well just be that.
We don't want PPS inflated thinking Oringer is involved then find out he's not.
I think it's best to leave the shutterstock scenario out for now. Revs matter more.
