The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that General Cable paid millions of dollars in bribes to government officials in foreign countries in order to secure business, which was in violation of the Foreign Corrupt Practices Act (the “FCPA”), General Cable’s revenues were in part the product of illegal conduct, and, as such, subject to disgorgement and unlikely to be sustainable, and the Company would be subjected to significant regulatory scrutiny and financial penalties.
According to the complaint, following a September 22, 2014 announcement that the Company was reviewing payment practices, and a February 10, 2016 announcement that the Company had increased a disgorgement accrual for a potential FCPA settlement to $33 million after identifying certain other transactions that may raise concerns, the value of General Cable shares declined significantly.
