JACKSONVILLE, Fla., June 30, 2016 (GLOBE NEWSWIRE) -- Green Energy Enterprises, Inc. (OTC Pink:GYOG) ("GYOG" or "the Corporation"
announces that BEO-ITS sought highly conditional terms that would result in substantial dilution to the existing shareholders.
The Corporation’s Board of Directors has carefully reviewed this acquisition consistent with the company’s continued focus on maximizing shareholder value and creating differentiated value for its customers, clients and other stakeholders in a dynamic, rapidly-evolving market. Based on a number of factors in the terms, unaddressed due diligence and the already existing and competitive nature of the new testing methodology for STDs, the Corporation determined that it is not in the best interests of the Corporation’s shareholders.
The Corporation’s mission is to be a leader in its industry market places. Effective execution of our focused strategy has driven a consistent track record of strong performance on closing acquisitions that are favorable to our shareholders. We set our targets to close on A-Cent Aviation, Inc. and Grow Your Own Greenz, Inc. which were both successfully acquired creating shareholder value. The Board is confident that the execution of our standalone strategic plan will generate shareholder value in excess of the BEO-ITS acquisition.

(OTC PINK: GYOG) ("GYOG" or "the Corporation" is excited to announce its official launch into Drone Training. As the only Light Sport Training Facility in Northern Florida and Southern Georgia we are monopolizing the industry and capturing this entire marketplace in the surrounding area. This market is going to be very, very large and ultimately drone services and training will be the next big evolution for the industry.
Through our wholly owned subsidiary, A-Cent Aviation, Inc. we operate a 2012 Cessna 162 Skycatcher aircraft (http://www.cessna.com/single-engine/skycatcher.html). This state-of-the-art aircraft allows A-Cent to generate substantial revenues in the fast growing arena of Sport Pilot training and now Drone training.
A-Cent Aviation has completed the first stage of its trial course to fulfill the proposed contract with a large nationwide Fortune 500 Communications Corporation. We have successfully trained the initial corporate drone staff who traveled to our flight operation for our accelerated Light Sport Program. We are on track to becoming their nationwide flight training provider and earning this partnership. As previously announced this partnership can be a Million Dollar contract for our Florida flight school operations.
We have another nationwide corporation who has also enrolled for flight training through A-Cent and this construction company will begin to filter in students into our new Drone training program for obtaining their Sport Pilot License. We are currently in negotiations with other large and small corporations and A-Cent is on target for becoming a hub for Light Sport Training in Florida.
As we continue to grow our light sport program we need to expand our fleet. We are seeking to acquire additional light sport aircraft to meet the needs of these contracts. This new craze is based off the rules established by the FAA requiring the following:
To legally fly a drone for commercial purposes, the operator must have approval per Section 333 of the FAA Modernization and Reform Act of 2012. It is common for the approval to be called a "333 exemption". To attain that approval from the FAA the person who will operate the drone is required to have at a minimum either a private pilot or sport pilot certificate.
By law, any aircraft operation in the national airspace requires a certificated and registered aircraft, a licensed pilot, and operational approval. Section 333 of the FAA Modernization and Reform Act of 2012 (FMRA) grants the Secretary of Transportation the authority to determine whether an airworthiness certificate is required for a UAS to operate safely in the National Airspace System (NAS).
This authority is being leveraged to grant case-by-case authorization for certain unmanned aircraft to perform commercial operations prior to the finalization of the Small UAS Rule, which will be the primary method for authorizing small UAS operations once it is complete.
The Section 333 Exemption process provides operators who wish to pursue safe and legal entry into the NAS a competitive advantage in the UAS marketplace, thus discouraging illegal operations and improving safety. It is anticipated that this activity will result in significant economic benefits, and the FAA Administrator has identified this as a high priority project to address demand for civil operation of UAS for commercial purposes. As of March 25, 2016, 4,223 Petitions for Exemption 333 have been granted by the FAA.
Piloting unmanned drones is a growing business opportunity which A-Cent plans to be part of when it comes to training. The combination of low-cost and very high value is driving fast adoption of drones for many businesses. New uses for UAS aircraft include law enforcement, search and rescue, agriculture, oil and gas line surveillance, entertainment, videography, photography, real estate sales, and aerial surveying. Eventually there will be many hundreds of uses.
This is becoming big business -- FAST. One of these new, highly-paid jobs is being a UAS pilot.

Under the terms of the agreement, Green Energy Enterprises, Inc. will acquire 51% of BEO-ITS, Inc. in exchange of 17 million shares of restricted common stock of Green Energy Enterprises, Inc. In addition, Green Energy Enterprises, Inc. will facilitate financing which will be used for the final development, production and distribution of the new medical device for self obtained vaginal specimen MSN2 (modified sanitary napkin).
BEO-ITS Inc. estimates gross revenues of approximately $60 million during the first three years from the sales of the new medical device for self obtained vaginal specimen MSN2 (modified sanitary napkin), including lab testing. The above-mentioned projected revenue is strictly related to the diagnosis of Chlamydia and does not include additional testing for other Sexually-Transmitted Diseases (STDs), of which the Total STD Market is a Multi Billion dollar market. This would considerably increase gross revenues. During the next three-year period, BEO-ITS Inc. anticipates to sell approximately 650,000 new medical devices for self obtained vaginal specimen MSN2 (modified sanitary napkin), targeting the Chlamydia market. The same medical device can be used for the additional laboratory testing of other major STDs such as; HIV/AIDS, gonorrhea, human papillomavirus (HPV), genital herpes, syphilis and lymphogranuloma venereum (LGV), which is usually a one visit test for most females.

QUASARâS FLIGHT OPERATIONS ARE SOARING
Quasar Aerospace Industries, Inc. is excited to announce that its flight operations are continuing to grow and goals are being accomplished. Quasar wants its aviation sector to continue to make strides in growth and development and its management is working diligently to move the company forward.
A-Cent Aviation, Inc. launched its FAA Part 91 operations in the first quarter of 2015 and the sight-seeing flights are being regularly booked. We have had numerous wedding proposals including a couple that had their friends and family set up tiki lamps on the beach with the words âMarry Meâ as we flew over the beach for the proposal. It has been a unique way to celebrate birthdays, anniversaries, and holidays. In addition, we have teamed up with a couple limo and luxury car companies and to create an Ultimate Date Night package. The package will offer car service from the customers home to A-Cent for a couples Romance Flight providing either champagne or wine with complimentary glasses and chocolates. Following the flight we have also teamed up with some local restaurants where the customers will then be driven to a restaurant for dinner and then a ride back home. This has been extremely successful and we intend to continue to capture not only flight training opportunities but sight-seeing and tourism as well. This is a revenue generating operation that has potential to continue to grow as new programs are being created to fully utilize our certifications.
A-Cent has added the City of Jacksonville as an additional insured on our policies. We are pleased to have been selected to partner with the University of Jacksonville on these surveys. Through the University we have flown and will continue to fly scientists to conduct State Synoptic Survey Flights over a broad area. The Florida Fish and Wildlife Conservation Commission (FWC) use these surveys to obtain a general count of manatees statewide covering all of the known habitats of manatees in Florida. These surveys are being conducted in accordance with Florida State Statute 370-12(4), which require an impartial, scientific benchmark census of the manatee population.
Additionally, A-Cent is in discussion with a representative of the Jacksonville Fire and Rescue for a new program that we are currently developing and will be launching in the near future.
Our transfer of our FAA Part 141 operations from Colorado to Pennsylvania continues to be delayed by the Federal Aviation Administration due to staffing in Pennsylvania. The transfer was requested the first quarter of 2014 and we have been waiting on our final transfer inspection to allow us to launch the international student pilot training program. We continue to have recruiters in India, South America, China and Egypt just waiting to send students to our flight agency. Due to the continued delay by the FAA, we are taking steps to change the transfer from Colorado to Florida rather than Pennsylvania. The local FSDO in Florida has advised that they have the staffing to get our transfer inspection completed at an earlier date than the local Pennsylvania FSDO. Therefore, in order to get this international program launched as soon as possible it would be of benefit to open the FAA Part 141 in Florida. The international student program can generate millions in revenue with each student paying approximately $70,000 - $75,000. We are prepared to move on this opportunity and are in discussions with partners on acquisitions of real estate and additional aircraft.
Quasar's management was unfortunately faced with a decision to either conduct a reverse stock split or increase its authorized shares. The Company has elected not to do a reverse stock split but rather proceeded with increasing the authorized shares. The Company is obligated to honor valid notes in the company and in doing so it has caused Quasar to have an increase its authorized shares as a necessity in order not be in default of the terms of the notes.

A-Cent Aviation has completed the first stage of its trial course to fulfill the proposed contract with a large nationwide Fortune 500 Communications Corporation. We have successfully trained the initial corporate drone staff who traveled to our flight operation for our accelerated Light Sport Program. This new craze is based off the rules established by the FAA requiring the following:
To legally fly a drone for commercial purposes, the operator must have approval per Section 333 of the FAA Modernization and Reform Act of 2012. It is common for the approval to be called a "333 exemption". To attain that approval from the FAA the person who will operate the drone is required to have at a minimum either a private pilot or sport pilot certificate.
By law, any aircraft operation in the national airspace requires a certificated and registered aircraft, a licensed pilot, and operational approval. Section 333 of the FAA Modernization and Reform Act of 2012 (FMRA) grants the Secretary of Transportation the authority to determine whether an airworthiness certificate is required for a UAS to operate safely in the National Airspace System (NAS).
This authority is being leveraged to grant case-by-case authorization for certain unmanned aircraft to perform commercial operations prior to the finalization of the Small UAS Rule, which will be the primary method for authorizing small UAS operations once it is complete.
The Section 333 Exemption process provides operators who wish to pursue safe and legal entry into the NAS a competitive advantage in the UAS marketplace, thus discouraging illegal operations and improving safety. It is anticipated that this activity will result in significant economic benefits, and the FAA Administrator has identified this as a high priority project to address demand for civil operation of UAS for commercial purposes. As of March 25, 2016, 4,223 Petitions for Exemption 333 have been granted by the FAA.
Piloting unmanned drones is a growing business opportunity which A-Cent plans to be part of when it comes to training. The combination of low-cost and very high value is driving fast adoption of drones for many businesses. New uses for UAS aircraft include law enforcement, search and rescue, agriculture, oil and gas line surveillance, entertainment, videography, photography, real estate sales, and aerial surveying. today announced that the Corporation will close on its most recent LOI with BEO-ITS, Inc. in April of 2016. Green Energy Enterprises, Inc. had begun their due diligence immediately after the execution of the Letter of Intent previously announced on March 15, 2016. Under the terms of the agreement, Green Energy Enterprises, Inc. will acquire 51% of BEO-ITS, Inc. in exchange of 17 million shares of restricted common stock of Green Energy Enterprises, Inc. In addition, Green Energy Enterprises, Inc. will facilitate financing which will be used for the final development, production and distribution of the new medical device for self obtained vaginal specimen MSN2 (modified sanitary napkin).
BEO-ITS Inc. estimates gross revenues of approximately $60 million during the first three years from the sales of the new medical device for self obtained vaginal specimen MSN2 (modified sanitary napkin), including lab testing. The above-mentioned projected revenue is strictly related to the diagnosis of Chlamydia and does not include additional testing for other Sexually-Transmitted Diseases (STDs), of which the Total STD Market is a Multi Billion dollar market. This would considerably increase gross revenues. During the next three-year period, BEO-ITS Inc. anticipates to sell approximately 650,000 new medical devices for self obtained vaginal specimen MSN2 (modified sanitary napkin), targeting the Chlamydia market. The same medical device can be used for the additional laboratory testing of other major STDs such as; HIV/AIDS, gonorrhea, human papillomavirus (HPV), genital herpes, syphilis and lymphogranuloma venereum (LGV), which is usually a one visit test for most females.

today announced that, the Corporation will close on its most recent LOI with BEO-ITS, Inc. in April of 2016. Green Energy Enterprises, Inc. had begun their due diligence immediately after the execution of the Letter of Intent previously announced on March 15, 2016. Under the terms of the agreement, Green Energy Enterprises, Inc. will acquire 51% of BEO-ITS, Inc. in exchange of 17 million shares of restricted common stock of Green Energy Enterprises, Inc. In addition, Green Energy Enterprises, Inc. will facilitate financing which will be used for the final development, production and distribution of the new medical device for self obtained vaginal specimen MSN2 (modified sanitary napkin).
BEO-ITS Inc. estimates gross revenues of approximately $60 million during the first three years from the sales of the new medical device for self obtained vaginal specimen MSN2 (modified sanitary napkin), including lab testing. The above mentioned projected revenue is strictly related to the diagnosis of Chlamydia and does not include additional testing for other Sexually-Transmitted Diseaseâs (STDâs), of which the Total STD Market is a Multi Billion dollar market. This would considerably increase gross revenues. During the next three year period, BEO-ITS Inc. anticipates to sell approximately 650,000 new medical devices for self obtained vaginal specimen MSN2 (modified sanitary napkin), targeting the Chlamydia market. The same medical device can be used for the additional laboratory testing of other major STDâs such as; HIV/AIDS, gonorrhoea, human papillomavirus (HPV), genital herpes, syphilis and lymphogranuloma venereum (LGV). Which is usually a one visit test, for most females.
BEO-ITS, Inc. is a Bio-medical company headed by Michel Aube PhD. Dr. Aube has developed a new leading-edge methodological testing process already validated on more than 500 women that will allow individuals to get tested for Multiple STDâs. Green Energy Enterprises Inc., is pleased to announce today that the company has executed a Letter of Intent for the acquisition of BEO-ITS, Inc. The signed agreement between the two parties allows for Green Energy Enterprises, Inc. to acquire all interests, rights, property, assets, intellectual property, projects, concepts, patents, websites, business name and business, excluding but not limited to various customers and contracts of BEO-ITS, Inc. This strategic acquisition is expected to further strengthen Green Energy Enterprises, Inc. and create shareholder value as the company penetrates the bio-medical industry with its innovative scientific methodological approach to test for sexually transmitted infections (STIs). BEO-ITS, Inc. is a bio-medical company headed by Michel Aube PhD. Dr. Aube has developed a new leading-edge methodological testing process already validated on more than 500 women that will allow individuals to get tested for sexually transmitted infections (STIs) Chlamydia or other STIs like gonorrhea and HPV (human papillomavirus). This new testing methodology developed by Dr. Aube is a low cost alternative with superior results in comparison to other testing options presently available on the market. Most importantly, Dr. Aubeâs testing methodology is non-invasive for women. This new testing medical device has the potential to become the gold standard to fight Chlamydia and other STIs. âWe have developed a new technology - a kit based of a modified sanitary napkin that allows women to collect their own 'sample' at home and then mail the sample in an unidentifiable envelope to our dedicated laboratory facilities. Chlamydia trachomatis genital infections are increasing in both developed and developing countries, with more than 90 million new cases occurring each year. In the United States only, more than 4 million new cases occur each year. Only 1/3 of American woman that should be tested yearly are effectively tested. All pregnant women must be tested for Chlamydia. Additionally, there are approximately 2.2 million sexually active women living in Canada and 22 million living in the United States of America aged between 15 and 25 that should also be tested yearly to prevent Chlamydia infections. Untreated Chlamydia trachomatis infection can cause destruction on the reproductive organs, profoundly affecting fertility in women. Chlamydia has considerably increased in various countries including the USA, Canada, Sweden, Norway, Finland and South East Asia.

GYOG ANNOUNCES MAJOR REDUCTION OF AUTHORIZED SHARES BY 8 BILLION
Green Energy Enterprises, Inc. (âGYOGâ) is proud to announce today that majority of its shareholders and its Board of Directors has completed a reduction in authorized common shares of GYOG by Eight Billion (8,000,000,000).
Donnell J. Vigil, CEO of GYOG states, "We are avidly seeking to improve our share structure and keep with our commitment to create shareholder value. It is our fullest intent build confidence in our growing Corporation. The Corporation has reduced its authorized shares by over eighty-four percent (84%), effective Thursday, February 18, 2016. This Corporate initiative reduces our authorized common shares from Nine Billion, Five Hundred Million (9,500,000,000) to One Billion, Five Hundred Million (1,500,000,000). GYOG continues to make great progress on many fronts including its operations, services provided and structurally."
GYOG will be updating the new share structure with the Colorado Secretary of State and on OTC Markets. Also the Corporationâs majority Series A Preferred shareholders have elected to continue their halt on conversions to common shares to aid in preventing dilution.
GYOGâs aviation operations continue to soar and we are finalizing a large nationwide contract to be a flight training provider to a Fortune 500 Corporation. QUASARâS FLIGHT OPERATIONS ARE SOARING
Quasar Aerospace Industries, Inc. is excited to announce that its flight operations are continuing to grow and goals are being accomplished. Quasar wants its aviation sector to continue to make strides in growth and development and its management is working diligently to move the company forward.
A-Cent Aviation, Inc. launched its FAA Part 91 operations in the first quarter of 2015 and the sight-seeing flights are being regularly booked. We have had numerous wedding proposals including a couple that had their friends and family set up tiki lamps on the beach with the words âMarry Meâ as we flew over the beach for the proposal. It has been a unique way to celebrate birthdays, anniversaries, and holidays. In addition, we have teamed up with a couple limo and luxury car companies and to create an Ultimate Date Night package. The package will offer car service from the customers home to A-Cent for a couples Romance Flight providing either champagne or wine with complimentary glasses and chocolates. Following the flight we have also teamed up with some local restaurants where the customers will then be driven to a restaurant for dinner and then a ride back home. This has been extremely successful and we intend to continue to capture not only flight training opportunities but sight-seeing and tourism as well. This is a revenue generating operation that has potential to continue to grow as new programs are being created to fully utilize our certifications.
A-Cent has added the City of Jacksonville as an additional insured on our policies. We are pleased to have been selected to partner with the University of Jacksonville on these surveys. Through the University we have flown and will continue to fly scientists to conduct State Synoptic Survey Flights over a broad area. The Florida Fish and Wildlife Conservation Commission (FWC) use these surveys to obtain a general count of manatees statewide covering all of the known habitats of manatees in Florida. These surveys are being conducted in accordance with Florida State Statute 370-12(4), which require an impartial, scientific benchmark census of the manatee population.
Additionally, A-Cent is in discussion with a representative of the Jacksonville Fire and Rescue for a new program that we are currently developing and will be launching in the near future.
Our transfer of our FAA Part 141 operations from Colorado to Pennsylvania continues to be delayed by the Federal Aviation Administration due to staffing in Pennsylvania. The transfer was requested the first quarter of 2014 and we have been waiting on our final transfer inspection to allow us to launch the international student pilot training program. We continue to have recruiters in India, South America, China and Egypt just waiting to send students to our flight agency. Due to the continued delay by the FAA, we are taking steps to change the transfer from Colorado to Florida rather than Pennsylvania. The local FSDO in Florida has advised that they have the staffing to get our transfer inspection completed at an earlier date than the local Pennsylvania FSDO. Therefore, in order to get this international program launched as soon as possible it would be of benefit to open the FAA Part 141 in Florida. The international student program can generate millions in revenue with each student paying approximately $70,000 - $75,000. We are prepared to move on this opportunity and are in discussions with partners on acquisitions of real estate and additional aircraft.
Quasar's management was unfortunately faced with a decision to either conduct a reverse stock split or increase its authorized shares. The Company has elected not to do a reverse stock split but rather proceeded with increasing the authorized shares. The Company is obligated to honor valid notes in the company and in doing so it has caused Quasar to have an increase its authorized shares as a necessity in order not be in default of the terms of the notes.
