CAPMAN PLC HAS GAINED THE REDEMPTION RIGHT AND OBLIGATION IN RESPECT OF NORVESTIA OYJ’S SHARES HELD BY MINORITY SHAREHOLDERS
CapMan Plc (“CapMan”) has 19 December 2016 announced that it will complete the voluntary public exchange offer (the “Exchange Offer”) to acquire all Norvestia Oyj’s (“Norvestia”) shares and securities entitling to shares announced 3 November 2016. Completion trades of the Exchange Offer were made 22 December 2016.
CapMan has today informed that CapMan has gained ownership of approx. 90.68 percent of Norvestia's shares and votes in accordance with the terms and conditions of the Exchange Offer. As a result, CapMan has informed Norvestia that the redemption right and obligation under the Finnish Companies Act in respect of the Norvestia shares held by minority shareholders has arisen and Norvestia has become a subsidiary of CapMan.
CapMan announced also that it intends to initiate arbitral proceedings as provided in the Finnish Companies Act as soon as possible to complete the compulsory redemption of the shares in Norvestia held by minority shareholders.
