First, it's a preliminary proxy! Secondly, you're so wrong. The by laws and incorporation certificate will be included with the proxy. The statement they used was a template, from what I can tell, and included all possible normal powers that can be assigned to various preferred shares.
The powers for these preferred shares will be delineated more specifically in the final proxy and supporting attachments.
How many times are you going to argue and say they won't let us see it before we vote. The laws of incorporation require specifics to be voted on by shareholders. Read the Delaware laws. I've pointed it out several times and provided the links and quotes from the regulation.
