At its meeting held on December 5 th , 2016, the Supervisory Board of Tarkett acknowledged the resignation of Mr. Josselin de Roquemaurel, who represented the private equity firm KKR. This resignation comes in the wake of the sale by KKR of its remaining stake in the capital of Tarkett. Upon proposal by the Société Investissement Deconinck ("SID") , which holds 50.18% of Tarkett's share capital, and after due analysis by the Nominations and Compensation Committee, the Supervisory Board of Tarkett has decided to co-opt Ms. Agnès Touraine as a Member of the Supervisory Board and of the Nominations and Compensation Committee. This co-optation will be submitted for ratification at the Annual General Shareholders Meeting which will be held to approve the 2016 financial statements.
In addition, Mr. Jacques Garaïalde, who also represented KKR, informed the Board of his availability to pursue, on an individual basis, his mandate of member and Vice-President of the Board until its term, i.e. the conclusion of the Annual General Shareholders Meeting which will be held to approve the 2016 financial statements. The Board favorably welcomed this request, and after due analysis by the Nominations and Compensation Committee, concluded that Mr. Garaïalde now meets the requirements to be considered as an independent member.
As a result of these changes, and in order to comply with the recommendations of the AFEP-MEDEF corporate governance Code, the Committees of the Board will take the following form as of January 1 st , 2017: The Nominations and Compensation Committee will consist of two independent members (Mr. Gérard Buffière, Chairman, and Ms. Françoise Leroy) and of a representative of the SID (Ms. Agnès Touraine). The Audit Committee will consist of two independent members (Ms. Guylaine Saucier, Chairwoman, and Ms. Françoise Leroy) and a representative of the SID (Mr. Eric La Bonnardière).
Didier Deconinck, Chairman of the Supervisory Board, and all its members, would like to thank Josselin de Roquemaurel for his active contribution to the work of the Board and the Audit Committee, and look forward to welcoming Ms. Touraine within the Supervisory Board and the Nominations and Compensation Committee.
Agnès Touraine is President of the French Institute of Directors (IFA). She is also the founding CEO of Act III Consultants, a management Consulting firm dedicated to digital transformation. She was previously Chairwoman and CEO of Vivendi Universal Publishing, after 10 years with the Lagardère Group and 5 years with McKinsey. She holds a Law degree, graduated from the Paris Institut d'Etudes Politiques and holds an MBA from Columbia University Business School. She currently sits on the Board of Proximus (ex-Belgacom), and until mid-2016 served on the Boards of Darty PLC and Néopost. She is also a board member of several non-profit organizations such as IDATE and the French American Foundation.
