BNC Bancorp Announces Receipt of Merger Regulatory Approvals

BNC Bancorp (the "Company," (NASDAQ: BNCN), the holding company for Bank of North Carolina, today announced it has received all the necessary regulatory approvals from the Federal Reserve Board, the Federal Deposit Insurance Corporation ("FDIC", the North Carolina Officer of the Commissioner of Banks and the South Carolina State Board of Financial Institutions for the previously announced merger transaction between the Company and Southcoast Financial Corporation (NASDAQ: SOCB), the holding company for Southcoast Community Bank. The transaction has also been approved by the shareholders of Southcoast. The Company expects to close the transaction on June 17, 2016.

Operating earnings for the fourth quarter of 2015 totaled USD15.4 million, or USD0.39 per diluted share, compared to USD15.0 million, or USD0.39 per diluted share, for the third quarter of 2015. Diluted earnings per share totaled USD0.32, compared to USD0.31 for the third quarter of 2015. Operating earnings for the year ended December 31, 2015 were USD52.7 million, or USD1.47 per diluted share, compared to USD35.3 million, or USD1.21 per diluted share, for the year ended December 31, 2014. Total deposits increased USD367.7 million, or 8.4 percent and total assets increased USD455.5 million, or 8.8 percent. Operating return of average assets of 1.13 percent, compared to 1.15 percent for the third quarter of 2015. In 2015, the company completed the acquisition and conversion of seven branches from CertusBank, N.A. and expande the company's presence in attractive Upstate South Carolina markets. The company completed a public offering of 2.59 million shares of voting common stock. In the fourth quarter 2015, High Point Bank agreed to join forces with BNC. Along with the High Point Bank transaction, the company announced the closing of a USD60 million common equity raise that was extremely beneficial to existing shareholders as it added over USD0.70 to tangible book value. Total non-interest income was USD8.3 million for the fourth quarter of 2015, a decrease from USD9.2 million for the third quarter of 2015. Total non-interest expense was USD37.6 million for the fourth quarter of 2015, a decrease from USD38.2 million for the third quarter of 2015. At December 31, 2015, the company's total assets were USD5.7 billion, an increase from USD5.2 billion at September 30, 2015 and from USD4.1 billion at December 31, 2014.
