As at the date hereof, Simon Ridgway owns or controls: (i) 7,051,261 common shares, representing approximately 14.0% of the issued and outstanding common shares of the Company, and (ii) 250,000 options to acquire common shares of the Company (the "Options". Assuming the exercise of the Options in full, Simon Ridgway would own or control, 7,301,261 common shares, representing approximately 14.4% of the then issued and outstanding common shares of the Company assuming no other outstanding options in the Company were exercised, or approximately 14.1% of the then issued and outstanding common shares of the Company assuming all outstanding options in the Company were exercised.
