Pricing Period: The five trading days preceding the Closing Date.
Put Date: The date that the Investor receives Put Notice of draw down by Company.
Closing Date: Seven business days after the Put Date.
This advance notice allows for short selling by the fund, market makers and others, which most often drives down the share price.
Our financing with Aspire has none of this crap. No preferred shares either. We give notice after the market has closed (after 4pm) and pricing is based on past prices. No opportunity to do short selling by the fund or market makers. Actually if you read the deal Aspire takes lots of risk if our shares begin a declining trend as they have no opportunity to hedge. Obviously they have lots of faith in CTIX. I believe they now have the same faith I have. I hope that after you read the deal, you too will be pleased with the deal.
