(NYSE: TAOM), one of the leading children's entertainment and media companies in China, today announced that the Company has received a notice of failure to satisfy continued listing standards (the "Letter" from the New York Stock Exchange (the "NYSE" that the Company is not in compliance with certain of the NYSE's continued listing standards as set forth in Section 802.01E of the Listed Company Manual (the "Listed Company Manual" due to its failure to file its annual report on Form 20-F for the fiscal year ended December 31, 2015 ("Form 20-F" on a timely basis. The Company has therefore become subject to the procedures and requirements in the Listed Company Manual, which allows the Company up to a six-month period from the filing due date to regain compliance, subject to ongoing oversight by the NYSE.

Duff & Phelps Securities, LLC is serving as the financial advisor to the Special Committee, Ropes & Gray LLP is serving as international legal counsel to the Special Committee, and Maples and Calder is serving as Cayman Islands legal counsel to the Special Committee. Fenwick & West LLP is serving as US legal counsel to Taomee. Pursuant to the merger agreement, Parent will acquire the company for cash consideration equal to USD0.1884 per ordinary share of the company or USD3.767 per American depositary share of the company, each representing 20 Shares, in a transaction valuing the company at approximately USD134.0 million.
