Pursuant to the SPA, Dr. Shi will subscribe for and purchase directly or through a special purpose vehicle beneficially owned and controlled by him with the participation of certain other management members, up to 96,000,000 Class A common shares of the Company for a maximum aggregate consideration of approximately US$101 million in cash. (NYSE: NQ), a leading global provider of mobile Internet services, today announced that the Company's board has approved to terminate the previously announced plan to divest 100% of the equity interest in Beijing Tianya Co., Ltd. ("Beijing Tianya" , a wholly owned subsidiary of Beijing NQ Technology Co., Ltd., NQ Mobile's consolidated affiliated entity, to Tack Fiori International Group Limited ("Tack Fiori" , a Cayman Islands company listed in Hong Kong (such transaction, the "Proposed Divestment" .
