There's always a possibility that something 'big' is coming; it is the stock market and odd things happen every day. But from what I can ascertain, i dont see these filings leading to something 'big' in the short term (long term, yes).
My time frame of around 2 - 4 years still holds for SCIE, but this doesnt mean great strides or great dips wont happen in between. This is why I have other investments - so im not wasting time on one stock while I wait for it to do something.
Item 6 in the tender offer (c) lists 10 things not to expect to occur (which is what you are talking about). This means SCIE has no intention of a merger, no change in the directors, no material change in the company, etc etc etc.
So yes, it seems that people who are saying big things are coming may be replacing their short term investments hopes with what the current SEC filings actually state.
This of course doesnt mean something big may not happen, but i think this one 'big' thing people are hoping for will actually occur over a period of several months. These SEC filings definitely came out of nowhere so we'll just have to wait to see what happens.
The interesting thing is that the offer lists off multiple items not going occur (no intention of a merger, no change in the directors, no material change in the company). Perhaps they worded it this way because there is something going on which was not included in the list. Who knows, right now its all just guesses and opinions.
Although I cant speak for the people behind SCIE, it would seem counterproductive to do anything which may hold them accountable for fraud.
