Barker Minerals Announces Non-Brokered Private Placement THIS NEWS RELEASE IS NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES Prince George, British Columbia (FSCwire) - Barker Minerals Ltd. (BML on TSX/V) (Barker or the Company) announces that it intends to complete a non-brokered private placement (the Private Placement) of up to 5,000,000 units (the Units) at a price of $0.05 per Unit for gross proceeds of up to $250,000. Each Unit will consist of one convertible, redeemable, and retractable preferred share in the capital of the Company (Preferred Share), convertible into one common share of the Company, and one common share purchase warrant (Warrant). Each Warrant will entitle the holder to acquire one Common Share at an exercise price of $0.05 for up to five years following the date of closing (the Closing Date) and will expire on the earlier of sixty months following the Closing Date and the redemption or repayment of the Preferred Shares. The proceeds received from the sale of the Units will be used to fund work programs on the Companys properties and for general working capital, including the payment of outstanding accounts payable. All securities issued pursuant to the Private Placement will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation. The net proceeds from the Units will be used for general corporate working capital. The Private Placement is subject to the approval of the TSXV.
