(Nasdaq:CBF) (the "Company" today reported net income for the first quarter of 2016 of $9.8 million, or $0.22 per diluted share, and core net income of $16.9 million, or $0.38 per diluted share. Core adjustments for the first quarter of 2016 included a pre-tax charge of $9.2 million, related to the early termination of the FDIC loss share agreements, $0.6 million of non-tax deductible merger related expenses, $1.1 million of tax deductible merger related expenses, and $0.1 million of severance. Year over year core net income and core net income per diluted share rose 30% and 41%, respectively.

Capital Bank Financial Corp. (Nasdaq:CBF) (the "Company" announced today that its wholly owned subsidiary, Capital Bank Corporation (the "BankË®), has entered into an agreement with the Federal Deposit Insurance Corporation ("FDICË®) on March 18, 2016, to terminate all existing loss share agreements with the FDIC and has made a payment of $3.0 million to the FDIC as consideration for the early termination of the loss share agreements. The Company views this transaction as an opportunity to provide greater financial transparency and reduce operating costs, coupled with a favorable payback period of approximately three years. These loss share agreements were entered into by the Bank in 2010 in conjunction with the Bank acquiring substantially all of the assets and assuming substantially all of the liabilities of three failed banks in FDIC-assisted acquisitions. All rights and obligations of the Bank and the FDIC under these FDIC loss share agreements, including the clawback provisions and the settlement of loss share and expense reimbursement claims, have been resolved and terminated under the termination agreement.
