The key to up listing is that the company is fully reporting and that allows funds and big investors to participate in the stock with large purchases. There is no hanky panky when the reports are made because the SEC monitors the reports.
This is a stepping stone with the end goal the big boards, either NASDAQ or American Stock Exchange.
