i would like to know if the company asked for a TRO against KBM in converting shares. and if they didnt - why not? it is argued that the manner in which they converted shares harmed the company so it stands to reason that continued/future conversions while under court review would continue to harm the company.
if this goes to trial - it probably wouldnt start until late this year at the earliest and after all the theatrics - it could take 24-36 months. the company simply can not wait that long to file financials. while there is leeway with the SEC under certain conditions, at some point, they have to or they have to go dark/deregister which will really harm all outside shareholders.
with no reporting of financials, no revenues being reported/guidance given, etc. - it just looks like the average, run of the mill OTC stock by the investor taking a casual look. they need to be able to put something "real" out there to get a deeper look beyond a perfunctory review of past financials/one page summary sheet on Yahoo/finance site to get them to understand the company, products, and real potential.
the company cant speak about the ongoing trial/continuations. it is really hamstringing the stock price and hence their ability to raise capital at an attractive rate or get traditional financing to "go national" once SMS has dealers established. while the cash flow should be dramatically improved based on anecdotal review - again, the casual investor is NOT going to ever find that.
so - that goes back to a TRO and letting the company flourish.
