All shares above the outstanding are for lack of better term are called "shelf" shares. They cannot be directly sold to any firm. These "extra" shares would need to be approved in whole or increments via board approval with application to register/release XXX's shares. This is kind of like an inhouse bank and per boards decision authorized if needed for operating expenses or possibly to raise capital to buyout another co.
So if any fund wants in now they have to buy from the current 320mm shares outstanding currently authorized.
