Its frustrating but there is something here they're trying very hard to conceal and I think its a third party company (as I have stated previously). I could be wrong but the agreement has too many references to Affiliates. I know its not Mobix and UMS because those are defined as Subsidiaries, not affiliates in the Sept. 28th. 8K.
Another clue is their website Italkmobility.com and all social media. They have the website template in-place but the content is missing. Ask yourself why are they purposely concealing information from the 10Q, 8K, website, twitter, Facebook and all other social media? There is more to this IMO!

No Conflicts
“ Talk Indemnified Parties ” means Talk and its Affiliates and their respective officers, directors, employees, partners, shareholders, and agents.
(c) require Talk or its Affiliates to obtain the consent, approval, authorization or Order of, or to make any filing, registration or qualification with, any Governmental Entity or
(d) result in the creation of any Lien upon the assets of Talk or its Affiliates which would reasonably be expected to impair or delay Talk’s ability to consummate the transactions contemplated by this Agreement.
Legal Proceedings .
There is a pending contract and indebtedness lawsuit against Talk filed on November 21, 2014, with the 17th Judicial Circuit Court in Broward County, Florida (the “Court 1”). To Talk’s knowledge, there is no threat against Talk or its affiliates,
Agreement, the entire UMS Shares from Talk for fair market value upon Talk or any of Talk’s Affiliates being convicted
Termination
(iv) By UMS, if at any time after the date hereof, Talk or any of Talk’s Affiliates incur or are affected by a Talk Securities Law Violation;
Subsidiaries .
At the Closing, UMS will also be the 100% owner of United Mobile Solutions, LLC, International Touch Point, LLC, and United Prepaid, LLC (individually and collectively the “Subsidiaries”). The business activities previously conducted and assets previously held by Elephante (IT) and Mobix Wireless shall be 100% owned by UMS at the Closing.
