Acquisition 1: "On July 27, 2015, the Company entered into a Non-binding Letter of Intent to acquire the assets of a biometric software innovator formed in 2004, whose software products include “undefeatable” FIPS 140-2 Suite B military grade encryption. This technology is used for the purpose of identifying and authenticating an individual using his unique physical characteristics. Biometrics measure and analyze both physiological and behavioral characteristics such as
DNA, fingerprints, eye retinas and irises, voice patterns, facial patterns, vein and signature patterns and hand measurements for authentication or identification purposes of a human being. On October 10, 2015, the Company
formed a new operating entity, Aluf Biometrics, Inc., for this acquisition. The acquisition is expected to close in the second quarter of 2016."
