LEARNING TIME CONTINUED..
In other words, for those who may not know, the Public Float is ALWAYS calculated on the last business day of the second fiscal quarter.
Why, you may ask?
Because the SEC wants to know if SCIE (and every company) will be filing as an accelerated filer. By calculating the float at the end of the second quarter, it gives the company enough time to figure out if they have to do this. SCIE does not.
All of this started back in the early 2000's when the SEC changed things around.
The cut off, I think, is around $80 million or less for the public float. Seeing SCIE has a float of less than $10 million, SCIE is considered a 'smaller reporting company'.
Lets get nerdy..
Go to SCIE's 10K.
Notice it says:
Notice the box is CHECKED due to this early 2000's rule.
So whats the purpose of all this? simply put... transparency. It allows the investor (us) to physically read on the 10K the size of the company, what they're up to, and whether or not they are an Accelerated filer, Non-Accelerated filer, or Smaller reporting company.
OOOoooh, this stuff is fun. So the next time you read a 10K, you can find this section and youll know why its there!
