It seems to me there are people purposefully confusing others on how the reverse merger process is suppose to take place. With that said, current litigation dealing with civil matters and criminal matters are separate however share structure is a critical part that is in question because they are needed for the merger process to complete on the Federal Level. The State level clearly shows on paper that Oak River owns the TDEY shell. But Oak River has not received the agreed TDEY shell shares needed to create the new public company in the market. Details in one complaint are spun and combined thru speculation of other complaints not even proved to exist.
I have the feeling that Kent took the litigation route because he had no choice especially considering the process of creating the new public entity in the market would require FINRA (corporate actions check) and the SEC when a new registration statement (Form 10) is filed for approval in the FEDERAL system.
I also have the feeling that EV has held onto shares that he does not own anymore and Kent took him to court because he is a thief and didn't respect the purchase agreement of such shares.
I also have the feeling that there are unauthorized shares in question via the history of the TDEY shell under EV. If I'm correct than there is a high probability that the FBI is involved and Kent really cant comment on anything until he gets the green light from a federal judge. That means pretty much everything related to Oak River Technology and TDEY can not be discussed unless its public knowledge via court record or previous financials.
