Regarding the post from infamous on uplisting by YE...not sure. He said profits in 2016. I thought they had to be operating two years before they could uplist so I am obviously missing something.
Since UMS took over TALK via the R/M route, they also choose to retain the TALK symbol and name. This tells me the requirement to up-list is based on UMS numbers which easily qualifies and exceeds the $750,000 minimum.

2014 $17,139,231
2013 $14,960,951
The only question/unknown is? The minimum price of its stock must be $3 and public float must have a market value of $3 million . How does iTALK plan to achieve this goal? This is why I am holding shares after the merger announcement to find out.
AMEX Uplist requirement.
The AMEX requires companies to have $750,000 in pre-tax income in the two most recent fiscal years. In addition, the minimum price of its stock must be $3 and public float must have a market value of $3 million. Public float refers to shares of stock owned by the public and not by company directors, officers or controlling interest investors. In total, the company’s shareholder equity must be at least $4 million.
