A shell that has no management contesting ownership - with debt that can be negotiated away for pennies on the dollar when the pps is low - is worth something to a company that wants to go public at minimal cost.
Somebody puts themselves up to be Emergency Custodian - files and gets approved - shareholders vote him / her in as CEO / President.
