New email from IR@italkmobility that I found disturbing. Yesterday's email response was from David. Today I got a response from Investor Relations and it said the exact opposite of what David said to me yesterday.

From: investor italk [mailto:investor@italkmobility.com]

Subject: Re: Inconsistent information in the 8k

UMS is a subsidiary of iTalk and will remain a Delaware corp. there is no need to cancel Delaware.

We appreciate your efforts in communication but please do understand your are meddling on corporate matters you don't understand or are unaware of.

ir@italk

HERE IS MY RESPONSE. I ALSO COPIED ON DAVID...

That is an interesting response. Yesterday I received the following response from David at iTALK which is the complete opposite of what you are saying below. I have copied him on so the two of you can discuss.

Quote:
Company is a NEVADA Corp

D

When I pointed out that iTALK is the Nevada Corp and UMS is the Delaware Corp I received this response…

Quote:
Upon merger italk inc remained under Nevada corporation. UMS was an LLC converted into corp in the State of Delaware prior to merge with iTalk.

However we have decided to maintain our Nevada filing.

We don’t need any help out as our legal counsel and auditors know what is the current status of the company.

Thanks
D

My final comment is…if UMS is a Delaware Corp the you need to file the 2015 Franchise Fee Report which is now delinquent or if David is correct….you need to file a dissolution.

Also, I never received an answer as to why the Nevada SOS has NOT been updated for the new President Lee and share structure.

In terms of why I am meddling….UMS is now a PUBLIC company. That’s why. Thank you.
