10-Q questions and answers... For new investors
Post# of 1023
For new investors, there are:
10-K = Yearly, and
10-Q = Quarterly
The whole concept of 10Q and 10K can be confusing, so hopefully this will break it down-
The year is broken down into Quarters - Q1, Q2, Q3, Q4 (called fiscal quarters).
January, February and March (Q1) - Already out
April, May and June (Q2) - Already out
July, August and September (Q3) - Already out
October, November and December (Q4) - Not out yet
There is no 10-Q filing for the fourth quarter because that is when the 10-K is filed (the annual report).
The most recent 10-Q filed with the SEC was for the quarterly period ended September 30, 2015 (this is considered the 10-Q for Quarter 3):

Spectra Science is not a large corporation, which means they have 45 Days from Quarter End to file their 10-Q . If they need an extension, they can file a 5 Day Extension with Filing of NT 10-Q.
Which means, as of the day this post was written, we're waiting on the last 10-Q of 2015 which ended December 31, 2015.
But, taking into consideration the above information, you will NEVER see a SEC filing labeled,
Quote:
For the quarterly period ended December 31, 2015
..because the last Quarter gets mixed into the 10-K Annual report.
So, because we are waiting on the LAST quarter 10-Q of 2015, it gets referred to as the 10-K.
For the 10-K, Spectra Science has 90 Days from Quarter End to file it. Which means, the quarter ended December 31, 2015.
Count 90 days out from December 31, 2015..
March 30, 2016.
So, any time between today and March 30, 2016 we will receive the Annual 10-K, which is great because it will take into consideration all 4 previous quarters.
Notes:
1.
SCIE likes to take their time filing their 10-K's, so don't expect it be ready for us to read prior to March 20, 2016 (my opinion)
2.
SCIE could (doesn't have to) file extension NT - 10K as well which would put the date out even further.
Take care.
3.
March 30th is only 43 days away. 10-Ks can be game changers. Let's hope for the best.
