Johnson Controls (JCI) and Tyco (TYC) announced a deal to merge, under which the former's shareholders will own 56 percent of the equity of the combined company and receive aggregate cash consideration of about $3.9 billion. Tyco shareholders will own 44 percent of the combined company.
