So $PLKD did a share exchange agreement back in Aug. with NEXT, up-listed to QB and now they're Merging. So is NEXT basically taking over $PLKD?
"On August 15, 2015, the parties entered into a Share Exchange Agreement (the "Agreement" ) pursuant to which it is contemplated that PLKD will acquire 100% of the issued and outstanding common stock of NEXT in exchange for consideration to the shareholders of NEXT consisting of (a) 75,357,083 shares of common stock of PLKD representing approximately 75% of the issued and outstanding common stock of PLKD following the closing of the transaction contemplated by the Agreement and (b) 8,600,000 shares of PLKD's Series B Preferred Stock issued and outstanding ("Share Exchange" ). The closing of the Share Exchange is contingent upon the satisfaction of certain closing conditions, including, but not limited to, the consent of the stockholders of NEXT, the completion of an audit of the financial statements of NEXT for the fiscal years ended December 31, 2013 and 2014 and the appointment of Arik Maimon as the Chief Executive Officer and Chairman of the Board of Directors of PLKD following the resignation of the officers and directors of PLKD on or prior to closing."
