Lund, November 6, 2015 – Anoto Group AB (publ) (“Anoto” or the “Company”) has completed a directed share issue pursuant to the placing agreement with Carnegie Investment Bank AB ("Carnegie") of approximately SEK 74 million to finance the acquisition of Livescribe.
Pursuant to the placing agreement, Carnegie has today placed and sold 56.5 million shares in Anoto at an average volume-weighted price of approximately SEK 1.31. With the authorization from the Extraordinary General Meeting held on September 28, 2015, the Board of Directors of Anoto has resolved on a directed share issue to Carnegie of 56.5 million shares at a subscription price of approximately SEK 1.31. The total value of the share issue amounts to approximately SEK 74 million before costs associated with the share issue. The share issue represents approximately 5.9 per cent of the share capital and votes after dilution.
The share issue means that the number of shares in the Company increases by 56,500,000 shares. The total number of outstanding shares in the Company increases from 895,193,826 shares to a total of 951,693,826 shares and the share capital will increase by SEK 1,130,000, from SEK 17,903,876.52 to SEK 19,033,876.52.
