Re-read the legal docs again for the heck of it. It does read like a bad story but still do not see any illegal accusations with a lot of teeth.
- The CEO was working with COR and agencies to resolve
- Gagging a TA is not illegal. Nobilis could have got through broker if they wanted to know.
- Shares from past debt being converted isn't under CRGP's control if debtor is due shares or not it is the debtor in control. Even with $7.m in cash, the debtors is control and would likely want to sell the shares than even take a sweetened deal from CRGP well over the original value above the loan value.
- Raising the AS as there isn't enough room for debt shares to clear is a forced scenario to CRGP and not a chosen one. That aside, raising the AS is not illegal in it of itself.
- Plan for buyback was known before all of the dates regarding the divy and debt shares with Nobilis/Darby/COR.
- The 25% rule only added more liability to CRGP and couldn't help them even if they knew about it. Lets say they were secretly buying through an affiliate. They would be receiving and both paying the same amount. Its a wash.
- The shares issued to Nobilis were not-divy eligible and no depict going on here. That said, the 25% rule made that irrelevant
Now if someone thinks this was a brilliant scam, they must think they could get someone else to pay $4m and no one notice or care. That doesn't seem brilliant or even logical to me.
Now since they were buying back shares and if the clearing of the debt shares got MMs to short it and be on the hook for paying the dividend than so be it. That isn't illegal on the part of CRGP. If there is some "mix up" and CRGP should have paid vs COR, than Adam seems to be trying to help resolve and a settlement or other action to resolve what COR did is most likely coming.
The legal filing sounds really bad on the surface and might be in the end. The lack of info from anyone including CRGP is understandably weighing on people. Not sure what happens next and looking forward to getting more clarity
