TMMI and its subsidiary DFI's history
I was one of 29 shareholders giving my stock to Simpson for a loan guarantee by him and Fernandez in exchange for TMMI preferred shares (contract can be seen in court papers). Simpson sold our stock and put the money in his personal account. We never got the preferred stock, but TMM got hundreds of thousands of dollars of our money because Simpson was paying TMMI’s bills. After Simpson put the money into his personal account, TMMI never made good their promise to us and some of our money in Simpsons account was used to buy the source code. It did NOT come from DFI’s account (accounting in court papers). Simpson, as president of DFI, tried to put the source code in DFI but couldn’t, so DFMI was formed. Then Simpson, who was also DFMI’s president, put it in DFMI to consummate the agreement. The code was never legally in DFI, contrary to what has been said here. DFMI tax returns show that they had the source code.
