Hello everybody,
on 19th Nov. 2015 is the next Annual General Meeting of Balda AG.
Many shareholders are disappointed with recent development of the share price
and communication of supervisory board and CEO.
Therefore they started a shareholder initiative, which represents the interests of all shareholders at the AGM.
Proxy voting on pre-agreed positions.
Currently already over 1,7 million shares are registered, representing over 3 % of all voting rights.

Initial situation prior to annual general meeting (AGM):
- Year to date 2015, share price declined from 3.20 EUR to around 2.35 EUR, equal to -27%
- Current market capitalization of Balda is 100 million EUR below its net cash position
- Very restrictive or even no information to shareholders on future capital spending
- Balda's supervisory board is dominated by Balda's largest shareholder - Elector
- An ARP that is already approved by the shareholders hasn't started yet (ARP = share buyback programme)
- No information on dividend payment, although high excess liquidity/ cash position
- Strategy and timing on acquisitions unknown/ not communicated
Goals of the shareholder initiative:
- Pooling of at least 3 million voting rights, mainly users of shareholder communities (like ariva, w:o (wallstreet-online), etc.)
- The pooled voting rights will be used for different topics that are yet to be defined. It is considered to not formally approve the actions of the supervisory board at the AGM, propose a dividend payment, etc.
- Contribute own proposals, for example items for the agenda of the AGM
- Ensure that small shareholders can make use of their rights (eg. sufficient speaking time, access to necessary and desired information)
